Flex Music Labs LLC
License agreement
End-user license agreement for ComposerFlex and PianoFlex. Version 1.0.
Please read this agreement before installing or using the software. By installing or using it, you agree to these terms. If you do not agree, do not install or use the software; if you bought a license and do not agree, ask us for a refund under section 8.
1. Who this agreement is between
This agreement is between you and Flex Music Labs LLC, an Illinois limited liability company ("we", "us"). "You" means the person who installs or uses the software. If you accept these terms for a company or other organization, "you" also means that organization, and you confirm you are allowed to accept them for it.
"The software" means ComposerFlex and PianoFlex, in their standalone and plugin forms, together with their presets, sounds, data, help and other files we provide, and any updates we provide.
2. Demo mode
Without a license key, the software runs in demo mode. You may use the demo for free, for as long as you like, to try the software. In demo mode some features are limited, as described in the software. The rest of this agreement applies to the demo too, except for section 3.
3. Your license
When you buy a license and enter the license key we give you, we grant you a non-exclusive, perpetual license to use the products your key covers, subject to this agreement.
- One person. A license is for one person. That person may install and use the software on any computers that person owns or controls. A studio, school or company where several people use the software needs one license for each of them.
- The version. Your key unlocks the product versions it states. We are not obliged to release updates or later versions, or to provide them at no charge.
- Your key. Your license key is tied to the email address you gave when buying. Keep it private. You may not share, publish or sell it.
- Transfer. You may transfer your license once, in full, to another person who accepts this agreement. You must stop using the software, delete your copy of the key, and tell us at support@flexmusiclabs.com with your order number and the new owner's email address. You may not split a license that covers both products.
4. Your music
The songs, MIDI files, audio recordings and other material you create with the software ("your music") are yours. We claim no ownership of them. To the extent we have any rights in your music, we give them to you. You may use your music in any way you want, including selling it, releasing it, broadcasting it and using it in commercial work, with nothing owed to us: no royalty, no fee and no credit.
Two limits:
- Our sound and patterns are not for resale. You may not record, sample or capture the software's sounds or output in order to make, or help make, a product that reproduces or competes with the software. This includes:
- recording individual notes, chords or sounds of PianoFlex to make a sample library, sound set, preset pack or virtual instrument, whether sold or given away;
- analyzing, measuring or modeling PianoFlex's sound, or using its output to train or tune software, in order to recreate or imitate it;
- collecting ComposerFlex's patterns, styles or templates into a product offered as such.
This limit is about the instrument and the tools, not your music. Songs and recordings of music you make, including solo piano pieces, are yours to use as the paragraph above says.
- Music made with the help of software may be similar to music made by others, and the law in some countries limits copyright in material produced by a machine. We do not promise that your music is original or that it can be protected by copyright, and you are responsible for what you publish.
5. What you may not do
Except where the law allows it despite this agreement, you may not:
- copy the software, except to install it as section 3 allows and to keep backup copies;
- rent, lend, lease, sell or distribute the software or your key, except a transfer under section 3;
- reverse engineer, decompile or disassemble the software, except to the extent the law where you live allows it for interoperability;
- remove, bypass or defeat the license check or demo limits, or make or share license keys;
- remove our notices or the third-party notices from the software.
6. Ownership
The software is licensed to you, not sold. We and our licensors keep all rights in it, including copyright, that this agreement does not expressly give you. ComposerFlex, PianoFlex and Flex Music Labs are our names and marks; this agreement does not give you rights to use them.
7. Third-party components
The software includes components made by others, used under their own licenses. Those licenses, and the credits we owe, are listed in the Credits file installed with the software and shown in its About box. Where a component's license gives you rights that this agreement would otherwise restrict, the component's license governs that component.

8. Purchases and refunds
Purchases are processed by our reseller, which is the seller of record for your order. Its terms of sale govern payment and taxes.
If you are not satisfied, you may ask for a full refund within 14 days of your purchase, for any reason, by writing to support@flexmusiclabs.com with your order number. When your purchase is refunded, your license to the products it covered ends, and you must stop using them and delete the license key. Your rights as a consumer under the law of the place where you live are not affected.
9. Updates and support
We may release updates, but we are not obliged to. We are not obliged to provide support. Questions and bug reports can be sent to support@flexmusiclabs.com. Refund requests and license-key problems always get a reply.
10. Your privacy
The software does not connect to the internet and does not send information about you or your use of it to us or anyone else. Your license key and email address, and the settings, presets, songs, MIDI and audio files and logs the software keeps, are stored only on your computer. Information you give when buying is handled by our reseller under its privacy policy, and by us under the privacy policy on our website.
11. No warranty
TO THE EXTENT THE LAW ALLOWS, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR NEEDS, WORK WITH YOUR OTHER SOFTWARE OR HARDWARE, OR RUN WITHOUT ERRORS OR INTERRUPTION. YOU ARE RESPONSIBLE FOR BACKING UP YOUR WORK.
12. Limit of liability
TO THE EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, WORK, PROFITS, REVENUE OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE OR THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR LICENSE, OR US$10 IF YOU PAID NOTHING.
13. Where the law gives you more
Some places do not allow warranties to be excluded or liability to be limited, or give consumers rights that an agreement cannot remove. Where that is so, sections 11 and 12 apply only as far as that law allows, and nothing in this agreement takes away rights you have under it. If you are a consumer in the European Union or the United Kingdom, nothing here limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited under your law.
14. Ending this agreement
This agreement lasts until it ends. It ends automatically if you break it. When it ends you must stop using the software and delete all copies. Sections 4 to 7 and 11 to 16 continue after it ends.
15. Export
You may not use or export the software in breach of United States export control or sanctions laws, or the laws of the place where you are.
16. General
- Law. This agreement is governed by the laws of the State of Illinois, USA, without regard to its rules on conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Courts in Kane County, Illinois, or the federal courts for the Northern District of Illinois, will decide disputes, unless the law where you live as a consumer gives you the right to bring a claim at home.
- Whole agreement. This agreement is the whole agreement between you and us about the software, and replaces anything said before about it.
- If part is invalid. If a court finds any part of this agreement unenforceable, that part is limited as little as needed, and the rest stays in force.
- Waiver. If we do not enforce a term at once, we can still enforce it later.
- New versions. A later version of the software may come with a new agreement. The one you accepted with the version you have continues to apply to it.
